Terms of Service

By accessing xamtek.ai or engaging our services, you agree to these Terms of Service. If you do not agree, please do not use our website or services. These terms apply to all visitors, clients, and anyone who contacts us via the website. xamtek.ai reserves the right to update these terms at any time; continued use of our services constitutes acceptance of the revised terms.

xamtek.ai provides AI-assisted web development services including, but not limited to: websites, marketing pages, web applications, SaaS products, custom CRM, CMS, CMMS, and ERP systems. The specific scope, deliverables, timeline, and pricing for any engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties. These Terms of Service govern the general relationship; the SOW governs the specific engagement.

Upon receipt of full payment, xamtek.ai assigns to the client all intellectual property rights in the custom work product created specifically for that engagement, including source code, designs, and documentation. xamtek.ai retains ownership of: • Pre-existing tools, frameworks, libraries, and internal utilities used to deliver the work. • Any third-party open-source components incorporated under their respective licences. • General methodologies, processes, and know-how developed independently of the engagement. The client grants xamtek.ai a non-exclusive right to reference the completed project in our portfolio and marketing materials unless otherwise agreed in writing.

The client is responsible for: • Providing accurate, complete, and timely information required to deliver the project. • Reviewing and approving deliverables within agreed timeframes. Delays caused by late approvals may affect the project timeline. • Ensuring that any content, data, or third-party materials provided to xamtek.ai do not infringe third-party intellectual property rights. • Complying with all applicable laws in connection with their use of delivered systems.

Payment terms are specified in the project agreement. Standard terms are: • 50% deposit required before work commences. • Remaining balance due upon project delivery, prior to final code handover or deployment. • Invoices unpaid after 14 days are subject to a late fee of 1.5% per month on the outstanding balance. xamtek.ai reserves the right to suspend work on any project where payment is overdue.

Both parties agree to keep confidential any non-public information shared during the engagement — including business processes, technical architecture, pricing, and strategic plans — and not to disclose it to third parties without prior written consent. This obligation survives termination of the engagement for a period of three years.

xamtek.ai warrants that: • Delivered work will conform to the agreed specification at the time of delivery. • We hold the necessary rights to deliver the work product. xamtek.ai does not warrant that: • Delivered systems will be free of all defects after client modifications. • Third-party services or APIs integrated into the system will remain available or unchanged. The website and its content are provided "as is" without warranty of any kind for informational purposes.

To the maximum extent permitted by law, xamtek.ai's total liability for any claim arising from an engagement shall not exceed the total fees paid by the client for that specific engagement. xamtek.ai shall not be liable for indirect, incidental, consequential, or punitive damages — including lost profits, data loss, or business interruption — even if advised of the possibility of such damages.

Either party may terminate an engagement with 14 days' written notice. Upon termination: • The client shall pay for all work completed up to the termination date. • xamtek.ai shall deliver all completed work product to the client. • Each party shall return or destroy the other's confidential information. xamtek.ai may terminate immediately if the client breaches these terms or engages in conduct that is unlawful or harmful.

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
